These Terms of Service ("Terms") govern your access to and use of the Reproly website, applications, and services (collectively, the "Services") provided by Reproly ("Reproly", "we", "us", or "our"). By accessing or using the Services, or by requesting access to them, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other organization, you represent that you have the authority to bind that organization, and "you" refers to that organization.
If you do not agree to these Terms, do not access or use the Services.
1. The Services
Reproly provides an AI support engineer that operates within tools such as Discord and Slack. It answers product questions from your knowledge base and investigates technical issues by connecting to sources you authorize, which may include your code repositories, logs, and third-party monitoring and communication tools. We may add, modify, or discontinue features of the Services at any time.
2. Eligibility and Accounts
You must be at least 18 years old and capable of forming a binding contract to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use of your account.
3. Early Access and Waitlist
Portions of the Services may be offered on a limited, early-access, beta, or waitlist basis. Early-access features are provided "as is", may be incomplete or contain errors, and may be changed or withdrawn at any time. Joining the waitlist does not guarantee access to the Services.
4. Customer Data and Integrations
"Customer Data" means the data, content, code, logs, messages, and other materials that you or your users provide to, or make accessible to, the Services. You retain all rights in your Customer Data. You grant Reproly a non-exclusive, worldwide license to access, process, store, and transmit Customer Data solely to provide and improve the Services and as otherwise permitted in our Privacy Policy.
When you connect third-party tools (such as GitHub, Sentry, Datadog, Slack, Discord, or Google services), you authorize us to access and process data from those tools on your behalf. Your use of third-party tools is also governed by the terms of those third parties, and we are not responsible for their acts or omissions.
You represent that you have all necessary rights, consents, and permissions to provide Customer Data and to authorize the integrations you enable, and that our processing of Customer Data as described will not violate any law or agreement.
5. Acceptable Use
You agree not to, and not to permit others to:
- use the Services in violation of any applicable law or regulation;
- infringe or misappropriate the intellectual property or privacy rights of any third party;
- upload or transmit malware, or attempt to gain unauthorized access to the Services or related systems;
- interfere with, disrupt, or place undue load on the Services or their infrastructure;
- reverse engineer, decompile, or attempt to derive the source code of the Services, except to the extent permitted by law;
- resell, sublicense, or otherwise make the Services available to third parties except as expressly permitted.
6. AI-Generated Output
The Services use artificial intelligence to generate responses, analyses, and suggestions ("Output"). Output may be inaccurate, incomplete, or otherwise unsuitable for your purposes. You are responsible for reviewing and evaluating Output before relying on or acting upon it. Reproly does not warrant the accuracy or reliability of any Output.
7. Fees
Some features of the Services may require payment of fees. Where fees apply, they will be described at the time you subscribe. Unless otherwise stated, fees are non-refundable and exclusive of taxes, which you are responsible for paying.
8. Intellectual Property
The Services, including all software, designs, text, and other materials (excluding Customer Data), are owned by Reproly or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Services. We reserve all rights not expressly granted.
9. Confidentiality
Each party may have access to non-public information of the other party. Each party agrees to protect the other's confidential information with reasonable care and to use it only as necessary to perform under these Terms.
10. Disclaimer of Warranties
The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free.
11. Limitation of Liability
To the maximum extent permitted by law, Reproly will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services. Our total liability for any claim arising out of or relating to these Terms or the Services will not exceed the greater of the amount you paid us in the twelve months preceding the claim or one hundred U.S. dollars (USD $100).
12. Indemnification
You agree to indemnify and hold harmless Reproly and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services, your Customer Data, or your violation of these Terms or applicable law.
13. Termination
We may suspend or terminate your access to the Services at any time if you breach these Terms or if we reasonably believe your use poses a risk to the Services or others. You may stop using the Services at any time. Upon termination, the rights granted to you will cease, and provisions that by their nature should survive will survive.
14. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice by updating the "Last updated" date above and, where appropriate, by other means. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
15. Governing Law
These Terms are governed by the laws applicable in the jurisdiction in which Reproly is established, without regard to conflict-of-laws principles. The courts of that jurisdiction will have exclusive jurisdiction over any dispute arising out of or relating to these Terms, unless otherwise required by applicable law.
